Code of Ethics
The BMSC Code of Ethics is a set of expectations to guide our behaviors as a high-growth contract manufacturer of top brands worldwide. The Code is a decision-making compass that should be consulted-either literally or intuitively any time we make a decision or begin a task. We should never stop asking ourselves, “Am I doing the right thing?”
As employees and representatives of the BMSC, we must practice honesty and integrity in fulfilling our responsibilities and comply with all applicable laws and regulations. It is up to all of us to live our values, to always be truthful, and treat each other with respect.
The intent of the code is that employees conduct themselves with integrity and comply with all applicable laws in a manner that excludes considerations of personal gain. The Code of Ethics works in conjunction with the company’s Code of Conduct.

Compliance with Laws and Regulations
BMSC is committed to the highest standards of ethical conduct and full compliance with state, federal and intonational laws. This includes, but is not limited to, those relating to antirust and promoting fair competition, corporate governance, preventing bribery, illicit payments, money laundering and corruption, labor laws and practices, and protecting trademarks, copyrights, company assets and other forms of intellectual property. BMSC respects the privacy and integrity of its customers, employees and suppliers and endeavors to adhere to standards when processing personal data.
Conflicts of Interest
Employees should avoid any situation that involves or may involve a conflict between their personal interest and the interest of the Company. As in all other facets of their duties, employees dealing with customers, suppliers, contractors, competitors or any person doing or seeking to do business with the company must act ethically and promptly disclose, in full and in writing to their manager, any potential situation that may involve a conflict of interest.
Confidentiality
Employees shall not disclose to any third party any of the terms, conditions or substance of their work assignments concerning BMSC’s confidential business matters as relates to any of BMSC’s business activities. All employees will be required to sign an Employee Non-Disclosure Agreement upon employment with the company.
Financial Integrity
BMSC is sensible in its expenditures on behalf of the Company, records all business transactions in accordance with generally accepted accounting principles, and maintains all business records accurately and in compliance with applicable laws and company policy. Employees with responsibility and expected to adhere to these standards. The company enforces appropriate internal controls designed to prevent or detect fraud, money laundering and ensure every accounting or financial record and supporting data describe the transaction accurately without omission, concealment or falsification.
Duty to Act: Reporting Fraud or Misconduct, Whistleblower Protection, and Investigations
BMSC is recognized by the actions of its employees, all of whom have a clear legal mandate to act ethically on the company’s behalf. Employees are encouraged to discuss concerns or questions with management or the Human Resources department and are obligated to report promptly any activities that may violate this code, policies or any laws or regulations.
If you have a problem, concern, or complaint, you should begin the resolution process by discussing the situation with your immediate supervisor. If the problem involves a direct supervisor or if satisfaction is not achieved, contact the department director or Human Resources. If BMSC determines that harassment or discrimination occurred, corrective action will be taken to effectively end the harassment. Offending individuals can be disciplined, up to and including termination.
BMSC is against retaliation on any employees who may have file a complaint. BMSC will investigate all complaints. If possible, BMSC will retain the confidentiality of those who report suspected or alleged violations.
